Welcome to The Stay Collective. These Terms of Service ("Terms") govern your access to and use of the AI-powered co-host management platform, website, and related services (collectively, the "Services") provided by Stay Collective LLC ("The Stay Collective," "we," "us," or "our"). By using our Services, you agree to be bound by these Terms.
1. Services Description
The Stay Collective provides a co-host management platform that combines human expertise with artificial intelligence and automation to assist vacation rental owners with:
- Guest communication management, including AI-powered instant responses and 24/7 messaging support
- Dynamic pricing and revenue optimization based on market data analytics
- Property operations coordination (cleaning, maintenance, inspections, vendor management)
- Owner reporting and real-time performance dashboards
- Booking optimization and calendar management across multiple platforms (Airbnb, VRBO, etc.)
The specific scope of services provided to each owner will be defined in a separate Service Agreement entered into between the owner and The Stay Collective.
2. Eligibility
By using our Services, you represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to bind the property or entity you represent
- You own or are legally authorized to manage the vacation rental property(ies) you list with us
- Your use of the Services complies with all applicable laws, regulations, and platform terms (including Airbnb, VRBO, and other booking channel policies)
3. Account Registration
You may need to create an account to access certain features of our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Owner Responsibilities
As an owner using our Services, you agree to:
- Provide accurate and complete information about your property, including availability, pricing, amenities, and house rules
- Maintain the property in a safe, habitable condition that complies with all applicable health, safety, and building codes
- Obtain and maintain appropriate insurance coverage for your property
- Comply with all local, state, and federal laws, including but not limited to short-term rental regulations, tax obligations, and licensing requirements
- Provide timely access to the property for cleaning, maintenance, and guest check-in/check-out as needed
- Disclose any property defects, hazards, or restrictions that could affect guest safety or experience
5. AI & Automated Services
5.1 AI-Powered Communications
Our platform may use artificial intelligence and machine learning to automate guest communications, including responses to inquiries, booking confirmations, check-in instructions, and issue resolution. While we strive for accuracy and appropriateness, AI-generated communications may occasionally contain errors or miss nuances. We continuously monitor and refine our systems, and owners may request human review of specific communications at any time.
5.2 Automated Pricing
Our dynamic pricing features use algorithms and market data to recommend optimal rates. Pricing recommendations are advisory in nature. Owners retain the right to override suggested prices and set their own rates. The Stay Collective is not responsible for revenue outcomes resulting from pricing decisions, whether automated or manual.
5.3 Service Limitations
While our AI systems are designed to improve efficiency, they are not a replacement for human judgment. Critical decisions regarding guest acceptance, security deposits, cancellation policies, and dispute resolution remain subject to owner approval and platform policies.
6. Fees & Payment
Fees for our Services will be set forth in your Service Agreement. Unless otherwise agreed, fees are typically calculated as a percentage of booking revenue or a flat monthly fee. Payment terms, including invoicing schedules, late fees, and dispute procedures, will be specified in your Service Agreement. All fees are due as stated and are non-refundable except as expressly provided in your Service Agreement.
7. Intellectual Property
Our Services, including our website, platform software, AI models, branding, and content, are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or business use in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works based on our Services without our prior written consent.
8. Privacy
Your use of our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data collection, use, and sharing practices, including how we handle data in connection with AI-powered features.
9. Limitation of Liability
To the maximum extent permitted by law, The Stay Collective and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Property damage, guest disputes, or negative reviews arising from the use of our Services
- Service interruptions, technical failures, or data loss
- Actions taken by third-party service providers (cleaning, maintenance, vendors)
- Errors in AI-generated communications or pricing recommendations
Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless The Stay Collective and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or regulation
- Your property's condition or any incident occurring at your property
- Any dispute between you and your guests
11. Termination
Either party may terminate the Service Agreement in accordance with the notice and terms specified therein. We may suspend or terminate your access to our platform immediately without prior notice if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to our Services, other owners, or guests. Upon termination, you must pay all outstanding fees and return or destroy any confidential information belonging to us.
12. SMS Communications Terms
By providing your mobile phone number and consenting to receive SMS communications from The Stay Collective, you agree to the following SMS terms:
Program Description
The Stay Collective sends transactional and operational text messages related to your account, property management activities, booking coordination, payment notifications, service updates, and customer care. This is not a marketing program.
Consent
SMS consent is optional and is not a condition of purchase or use of our services. By opting in, you confirm that you are the subscriber or authorized user of the mobile number provided.
Message Frequency
Message frequency varies based on your account activity, property bookings, and service needs. You may receive messages as account events occur.
Message and Data Rates
Message and data rates may apply. Please consult your mobile carrier for details on your messaging plan. The Stay Collective is not responsible for any charges incurred from your wireless carrier.
How to Opt Out (STOP)
You can cancel SMS communications at any time by replying STOP to any text message you receive from us. After replying STOP, you will receive a single confirmation message and will not receive further SMS communications from us. To resume messages, reply START or contact our support team.

Carrier Disclaimer
Carriers (including T-Mobile, AT&T, Verizon, Sprint, and others) are not liable for delayed or undelivered messages. Supported carriers include all major U.S. wireless networks.
Privacy
Your information is handled according to our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

13. Governing Law & Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
13.2 Informal Resolution
Before initiating any legal proceeding, the parties agree to attempt to resolve any dispute informally by contacting jonathan@staycollective.co. Both parties will cooperate in good faith to resolve the dispute within 30 days.
13.3 Binding Arbitration
If the dispute cannot be resolved informally, it shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be held in Sheridan, Wyoming, unless otherwise agreed by the parties. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines that exceptional circumstances warrant fee shifting.
13.4 Class Action Waiver
All disputes shall be resolved on an individual basis. You agree not to bring or participate in any class, consolidated, or representative action against The Stay Collective.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We will notify owners of material changes via email or platform notification. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between you and The Stay Collective regarding your use of our Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
